TERMS AND CONDITIONS

These Terms and Conditions (“Terms”) govern your access to and use of the website operated by Overstory LLC (“Overstory,” “we,” “us,” or “our”) and any purchase of products made through the site. By using the site, you agree to these Terms.

1. Eligibility

You must be at least 18 years old and able to form a binding contract to use this site or purchase products.

2. Products

We offer custom furniture and small home goods. Product descriptions, images, dimensions, finishes, and availability may change without notice. Wood is a natural material, and variations in grain, color, or texture are normal.

3. Pricing and Taxes

All prices are listed in U.S. dollars.

Sales tax is applied only when required under applicable law. Because Overstory LLC operates in Oregon, most orders will not include sales tax unless the destination state requires collection.

We reserve the right to change prices at any time before you place an order.

4. Orders and Acceptance

Placing an order does not create a contract until we accept the order. We may refuse or cancel an order for any reason, including errors in pricing, availability, or suspected fraud.

You agree that all information provided during checkout is accurate and complete.

5. Shipping and Delivery

Shipping costs are calculated at checkout. Delivery times are estimates only and are not guaranteed. Title and risk of loss pass to you upon delivery by the carrier.

For custom furniture, shipping or local delivery terms may be discussed separately in your project agreement.

6. Cancellations, Returns, and Refunds

Standard Products

• You may request a cancellation before the item ships. A cancellation fee may apply at our sole discretion if order processing has already begun.

• Returns are not accepted, unless the item arrives damaged. See the Return Policy for more details.

For Custom Orders, refer to the “Fine Print” section that applies specifically to custom work.

7. Damaged or Defective Items

If an item arrives damaged, notify us by email at overstorypdx@gmail.com within 3 days of the item’s arrival with clear photos showing the damage and the packaging. We may repair, replace, or refund the item at our discretion.

8. Intellectual Property

All content on the site, including text, images, logos, product designs, and graphics, is owned by Overstory LLC or its licensors and may not be copied, reproduced, or distributed without permission.

9. Prohibited Conduct

You agree not to:

• Interfere with the operation of the site

• Attempt to access restricted areas of the site

• Use the site for unlawful purposes

10. Disclaimers

The site is provided “as is” without warranties of any kind. To the maximum extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the fullest extent permitted by law, Overstory LLC shall not be liable for indirect, incidental, special, or consequential damages arising from your use of the site or products. Our total liability is limited to the amount you paid for the product giving rise to the claim.

12. Indemnification

You agree to indemnify and hold Overstory LLC harmless from claims arising out of your misuse of the site or violation of these Terms.

13. Governing Law

These Terms are governed by the laws of the State of Oregon, without regard to conflicts of law principles.

14. Changes to These Terms

We may update these Terms at any time. The “Last Updated” date reflects the most recent version. Continued use of the site constitutes acceptance of the updated Terms.
